HOWEVER UNLESS SPECIFICALLY STATED IN THE WRITTEN CONTRACT IT WILL BE SUPERSEDED BY THE FOLLOWING TERMS AND CONDITIONS.
Specifically these terms are primarily for web design projects but also include web hosting and domain names and my design and consultancy services.

If you reach agreement with me and instruct me to start work, your acceptance indicates that you agree to be bound by these Terms. Continued use of my services is an implied acceptance of agreement of the 'Terms and Conditions'.

What do both parties agree to when work is assigned?

You: You have the authority to enter into this contract, verbal or written, on behalf of yourself, your company or your organisation. You’ll give us the assets and information we tell you we need to complete the task or project. You’ll do this when we ask and provide it in the formats we ask for. You also agree to stick to the payment schedule set out at the end of this contract.
Us:. We’ll endeavour to meet every deadline that’s set and we agree to maintain a constant workflow of everything you give us. You’ll have plenty of opportunities to review our work and provide feedback. If, at any stage, you change your mind about what you want to be delivered and are not happy with the direction our work is taking you’ll pay us in full for the time we’ve spent working with you until that point. Payment for a stage of work shall be taken as satisfaction with the work provided.

Unless agreed separately, we’re not responsible for editing and proof-reading the copy on your website.

Graphics and photographs
You should supply graphic files in an editable, vector digital format. You should supply photographs in a high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs for you, we can do that.

Browser testing
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device. We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), Mozilla Firefox and Opera. We’ll also test to ensure that people who use Microsoft Internet Explorer 11 for Windows get an appropriate experience. We won’t test in other older browsers unless we agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.

Mobile browser testing
Mobile browser testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in:
iOS 9: Safari, Google Chrome
Android: Google Chrome on Android Emulator
We won’t test in Blackberry, Opera Mini/Mobile, specific Android devices, Windows or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate for that.

Technical support
If you have requested our hosting services, this will be contracted separately.

Search engine optimisation (SEO)
We don’t guarantee improvements to your website’s search engine ranking, but the web pages that we develop are accessible to search engines. Although in most cases you will see a definite improvement on pages we have optimised. If you wish us to spend time optimising your site specifically for Google according to their current standards, we can provide a separate estimate for this.

Changes and revisions
We don’t want to limit your ability to change your mind. The price at the beginning of starting work is based on the time that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. And in most cases we will continue with a rolling week by week payment / work system specified in agreement with you and us. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for those additional tasks.

Legal stuff
We’ll carry out our work in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience. That said, we can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.

Intellectual property rights
First, you guarantee that all elements of text, images or other artwork you provide are either owned by yourself, or that you’ve permission to use them. When you use or provide text, images or other artwork to us or from us, you agree to protect us from any claim by a third party that we’re using their intellectual property. You own all intellectual property rights of text, images, site specification and data you provided, unless someone else owns them. But where images, text, photos, graphics and programming code have been modified by us, we will own any intellectual property rights of the images, text, photos, graphics and programming code in whole in its new modified state unless we specifically transfer these to you in writing.
We own the copyright of any code, scripts, cgi applications or software written by us. Only with written permission from us can these be commercially reproduced or resold by you the client. We’ll own any intellectual property rights we’ve developed prior to, or developed separately from this project. We reserve the copyright and intellectual property rights of all website designs and creative/artwork designs.

Displaying our work
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, in magazine articles and in books.

Design Credit
We reserve the right to add a discreet link to www.nathanbeaumont.co.uk to the bottom of each page of the website.

Payment and Working schedule
We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the following payment schedule.
We charge our time by the hour, at a minimum of 1 hour. We reserve the right to change our hourly rate, but we will always advise you of this in writing. Where we are providing a design management and consultancy service to you we will charge an agreed hourly rate. We will not change this rate without informing you. Invoices will be sent out every week that work has taken place except on occasion or on larger projects. For larger one off projects a stage by stage invoice system will be agreed verbally or written before work or while work commences. As a small company we sometimes may be too busy to continue working for you. In this instance we will try to fit you in whenever we can or if at all possible.
As consultants we are happy to work any hours day or night that you need, when agreed beforehand verbally or in writing. Primarily we will work from our own office and we are easily contactable via phone, skype or email. We are very happy to meet on site to review or collect work or receive additional instructions and we are flexible in this regard. But in order to maintain consultancy status and our agreed price structure, we cannot be used regularly on site, in whole or in part, like ‘Temps’ (temporary workers), agency workers or employees unless new terms are agreed in writing.
We issue invoices electronically. Our payment terms are 7 days from the date of invoice by BACS or the SWIFT international payments system. All proposals are quoted in GBP and payments will be made at the equivalent conversion rate at the date the transfer is made. You agree to pay all charges associated with international transfers of funds. The appropriate bank account details will be printed on our electronic invoice. We reserve the right to charge interest on all overdue debts at the rate of 8 per cent over the current Bank of England base rate.
Neither of us can transfer these terms and conditions to anyone else without the other’s permission.
We both agree that we’ll adhere to all relevant laws and regulations in relation to our activities under these terms and conditions and not knowingly cause the other to breach any relevant laws or regulations.
These terms stay in place and need not be renewed. If for some reason one part of these terms and conditions becomes invalid or unenforceable, the remaining parts of it remain in place. Although the language is simple, the intentions are serious and these terms are a legal document under exclusive jurisdiction of English and Welsh courts.
